                                                              Articles of Incorporation of Tentmakers

                                                               We, the undersigned, in order to form a non-profit corporation for the purpose hereinafter stated under and pursuant to the provisions of chapter 317 of Minnesota Statutes, do hereby certify as follows:

                                                              Article I.
                                                              The name of the corporation shall be TENTMAKERS.

                                                              Article II.
                                                              The principal office of the corporation shall be located at 122 West Franklin Avenue, Minneapolis, Minnesota 55404, and the post office address shall be the same as the principal office of the corporation, namely, 122 West Franklin Avenue, Minneapolis, Minnesota 55404.

                                                              Article III.
                                                              TENTMAKERS is organized to train young adults in youth ministry and to deliver practical, Christ-centered leadership and life skills training with emphases in: (1) building discipleship programs for local communities and congregations of the Christian church, (2) developing the character and skills of young adults for effective work and ministry (e.g. communications, motivation, management, creative thinking, decision making, relationships and citizenship) and (3) preserving and promoting traditional American Christian virtues and values, including family, community, personal responsibility, work ethic, the free enterprise/free market system which allows people to fully develop and utilize their God-given freedom, potential and gifts. It is to be organized and operated exclusively for charitable religious and educational purposes within the meaning of section 501(c)3 of the Internal Revenue Code.

                                                              Article IV.
                                                              This non-profit corporation shall commence upon the filing of the Articles of Incorporation in the office of the Secretary of State of the State of Minnesota.

                                                              Article V.
                                                              The Duration of this non-profit corporation shall be perpetual.

                                                              Article VI.
                                                              The first meeting of the incorporators for the purpose of organizing, adopting By-Laws and electing directors shall be at 6:30 o'clock p.m. on December 27, 1977, at 7701 Olympia Street, Golden Valley. Minnesota 55427.

                                                              Article VII.
                                                              The names and post office addresses of the incorporators are [on record]


                                                              Article VIII.
                                                              The names and post office addresses of the persons who have been selected as the first Board of Directors to manage the business and affairs of the non-profit corporation until the first meeting of the Board of Directors are [on record]


                                                              Article IX.
                                                              The business and affairs of this non-profit corporation shall be managed and controlled by a Board of Directors to be composed of not less than five (5) persons, each of whom must be an adult 18 years or older.

                                                              Article X.
                                                              The annual meeting of the members of this non-profit corporation for the election of directors to the Board of Directors and for transaction of such other business as may properly come before said meeting shall be held each and every year at the principal office of the corporation, or at any such other place as may be determined by the Board of Directors of the corporation.

                                                              Article XI.
                                                              This non-profit corporation does not afford pecuniary gain, incidentally or otherwise to its members.

                                                              Article XII.
                                                              There shall be no personal liability of the members for this non-profit corporation's obligations.

                                                              Article XIII.
                                                              This non-profit corporation is a non-capital stock corporation.

                                                              Article XIV.
                                                              Upon the dissolution of this corporation the assets shall be distributed exclusively for charitable, religious and educational purposes to an organization or organizations exempt under section 501c3 of the Internal Revenue Code.

                                                              Article XV.
                                                              These Articles of Incorporation may be amended by a two-thirds vote of the whole board at a meeting of the directors, provided such amendment has been passed by a majority vote at a previous meeting of the directors, and provided two weeks notice, with full text of the proposed amendment(s) included, has been given to all directors prior to the meeting for adoption.
